Job Description

We are seeking a Commercial Solicitor to join our mid-tier client's commercial team. This is a mix of contentious and non-contentious commercial work.

As a Commercial Solicitor at this firm, you will have responsibility for complex and broad cases while representing a range of clients and advising them and assisting them on a variety of matters to include bespoke commercial contracts, agency and distribution, terms & conditions, intellectual property, e-commerce, IT, franchising and data protection.

The job will be primarily working on advisory matters but there will be some exposure to dispute resolution also. Your duties will include reading and amending contracts, reviewing business mergers, representing clients in court, and much more.

Responsibilities
• The work is extremely varied and interesting involving non-contentious corporate and commercial work which... includes M&A transactions, equity fundraising, joint ventures and shareholders' agreements, corporate financing as well as more general corporate and commercial advice.
• The candidate will be comfortable with drafting and negotiating non-disclosure agreements, heads of terms, investment agreements, development and LLP agreements, articles of association and the full suite of corporate documents including share option agreements (EMIs and non-tax advantageous schemes)
• Providing legal advice and assistance to clients
• Keeping up to date with changes and developments in the law
• Maintaining a professional standard
• Meet financial targets
• To take part in pro-bono work
• Conducting risk assessments on all files and notifying compliance of any risks to the firm
• Assisting with training and business development
• Keeping up to date with compliance procedures and policies
• Provide support as required to others in the business
• To act in the best interest of the firm at all times
• To promote the core values of the firm.
