Partner heavily with our international colleagues in the US, France and Switzerland with our hybrid work set-up. Office-first hybrid for us means 3-4 days PW in our brand new offices in Rolle, Switzerland.

Your Mission:

Reporting directly to the Chief Legal Officer, you will be responsible for all Corporate Governance and all Corporate Legal activity, including Corporate... Law, Corporate Finance, Corporate Transactions, SEC Regulations and Disclosure. This includes:
• Corporate governance activities, including maintenance of books and records for the Board of Directors, ensure compliance with Swiss law, SEC and Nasdaq requirements and best practices
• On-going public company matters, including planning and logistics for annual shareholder meetings, director and officer questionnaires, related party transactions, corporate compliance calendars
• Prepare and review SEC filings, including annual and quarterly reports, proxy statements, Form 6-Ks, 20-F
• Prepare Board and Committee meeting materials such as agendas, corporate governance-related materials, corporate resolutions and meeting minutes for Board of Director and Committee meetings
• Prepare, monitor and update corporate governance policies and charters
• Monitor and identify changes in relevant laws and regulations, and develop and implement recommended actionsEnsure press releases and other public disclosures comply with Nasdaq, SEC and Swiss Law requirements
• Maintain and manage insider trading policy and 10b5-1 plans
• Ensure high-quality support for corporate transactions (M&A, partnerships, corporate finance, corporate structuring, JV's etc)
• Maintenance of global subsidiary governance and compliance
