Position Summary

Mergers & Acquisitions / Restructuring

At Deloitte’s USI Mergers & Acquisitions and Restructuring (M&A/R) team, we are looking for Analyst and Consultants for our practice, with relevant experience in M&A. We are looking for a highly motivated individual with strong analytics skills to be part of the Merger & Acquisitions and Restructuring group who can work towards attaining profitable growth, strategically managing costs and intelligently navigatingrisks.

Work you will do:

We guide M&A initiatives for companies to help expand and accelerate revenue and cost synergies, reduce transaction risk and retain key talent, even as they make structural changes to their business, operating model or capital model. Your day-to-day responsibilities will include:
• Participate in engagement m anagementincluding:
• Own and manage specific work threads
• Develop plans for components of engagements
• Coordinate activities between different work threads
• Identify and... help manage changes in scope
• Manage and mentor junior resources
• Develop and maintain working relationships with client counterparts
• Develop client deliverables anddocumentation:
• Identify and select the most relevant set of tools/techniques to meet client requirements such as business case development, financial modeling and analysis, etc.
• Analyze and interpret project data, draw conclusions and develop recommendations based on the result of the specific outputs
• Use analytics to build strategic insights for the client
• Synthesize and present insights and recommendations
• Strive to improve deliverable quality through verification and validation of results
• Conduct client interviews, participate in workshops and training sessions, and presentrecommendations

The Team

The M&A/R team bring deep industry experience, rigorous analytical capabilities and a pragmatic mindset to solve clients' most complex business problems. Our operational capabilities address the unique issues faced by manufacturing organizations, service businesses and infrastructure operations. These are combined with capabilities in finance, performance management and business restructuring. Our teams take the lead on delivering all aspects of the people side of transactions to our clients. We leverage commercial awareness and professional expertise, along with using the skills and expertise of others, to deliver the best possible experience and outcomes for our clients.

Capabilities of an M&A practitioner will include the following:
• Developing an M&A strategy
• Providing buy-side and sell-side advisory support, screening targets and undertaking due diligence
• Optimizing the operating model and organization design
• Targeting synergies, developing a roadmap to help realize those synergies and measuring synergies
• Preparing for Day-One/ Day-Two readiness and executing the plan
• Developing communications for culture and change management
• Integrating supply chains, distribution networks, R&D, finance, procurement, real estate and innovation
• Aligning customers, sales, marketing and back-offices
• Developing carve-out financial statements
• Formulating organizational separation and re-alignment strategies
• Optimizing transition services agreement (TSA)
• Identifying and eliminating stranded costs

Required Qualifications
• MBA is mandatory. Engineering undergrad is a plus but not mandatory
• 2-6 years of relevant experience for Consultant
• Bengaluru / Hyderabad / Mumbai /Delhi

Preferred Qualifications
• Consulting Background
• M&A advisory experience
• Commercial/ Operational due diligence experience
• Prior investment banking experience on the sell/ buy side
• Specific functional knowledge in areas of Finance, IT, Contracts management, procurement etc
• Demonstrated experience in financial statement and operations analytics
