We are seeking a Senior Associate or Special Counsel to join our Mergers and Acquisitions team specialising in Superannuation, Life Insurance and Funds Management. There is flexibility as to the location of this role and as such applications from candidates seeking to work in a centre outside of Sydney will be considered. About the role Our team are known for the breadth and depth of their experience in the superannuation space. This role will report in to Nathan Hodge and Sarah Yu who specialise in superannuation, life insurance and funds management for major banks and wealth management institutions, retail, industry and corporate funds, public sector schemes, investment managers and administrators across all areas of financial services law. Our team is established, growing, collegiate and high performing. We have worked on some of Australia and Asia's most complex and industry defining transactions and act for the region's largest and most significant superannuation funds, life... insurers and major financial institutions. This role will be varied and interesting and will include acting and advising on: Transactions – assisting major superannuation funds, insurers, banks and wealth management institutions with mergers and acquisitions including successor fund transfers and insurance schemes. Investments - investment structures, investment management arrangements for listed assets and unlisted assets, private equity and infrastructure investments and transition management arrangements. Governance – all aspects of governance including structuring governance arrangements, board policies, delegations, director liability, director duties. Outsourcing - including advising on intra-group arrangements, custody, administration and investment management agreements. Product lifecycle – advising on establishing, changing and terminating superannuation and life insurance products. Financial advice – various financial advice models including roboadvice. Regulatory – from advisory regulatory work, licensing, approvals and authorisations and obtaining regulatory relief to breach notifications, regulatory notice work, investigations and enforcement action. Disclosure - relating to review of regulated documents including PDSs and AMM notices. Disputes – from individual complaints to litigation (eg insurance schemes, AFCA appeals and class actions). Employers – employers superannuation issues including superannuation guarantee liabilities. We regularly work with specialists from other practice groups as well as other centres within the KWM network. Our work spans advisory, litigation and transactional work. What experience are we looking for? you will have recognised experience gained in a similar environment and enjoy working as part of a committed team excellent analytical, communication and research skills - to deliver prompt and commercially astute advice strong commitment to client service and well-developed relationship management ability - you will play a key role in supporting and actively developing our relationships with our clients team focus - to facilitate effective teamwork by developing strong internal relationships enthusiasm to be involved in business development activities - participating in industry related programs and developing strategic relationships and networks first rate experience of drafting documents (including deeds, agreements, memorandums of advice etc).
