Job Description
• Managing all aspects of Group Corporate Governance compliance
• Managing Board and Committee agendas and coordinating the preparation of Board Reports
• Drafting Board minutes, Committee minutes and shareholder resolutions
• Managing tasks and follow-up items from Board and Committee meetings
• Preparing CRO filings and Annual Returns
• Managing filings in respect of global portfolio of companies
• Central Bank and MAR compliance reporting
• AGM preparation
• Drafting of Governance sections of the Group Annual Report
The Successful Applicant
Skills and Competencies
• Company secretarial qualification and company secretarial experience, with listed plc experience desirable but not essential
• Understanding of company secretarial responsibilities, including management of statutory registers and CRO filings
• Strong... administration and organisational skills
• Excellent project management skills
• Excellent interpersonal, communication and managerial skills
• Ability to thrive in a high-paced work environment
• Professional maturity to take ownership of various assignments with limited supervision
• Flexibility and willingness to work on a broad variety of matters
• Good attitude, strong work ethic, and the ability to work well in a team environment
• Experience using Diligent Boards and Diligent Entities desirable
• Attention to detail and the ability to multi-task
