The General Counsel will be responsible for providing leadership, guidance, direction, and assistance in connection with a wide variety of legal, regulatory, compliance, and business matters in Japan for Danaher businesses. The successful applicant will need to demonstrate an ability to assess the needs of the business from a legal and regulatory perspective and collaborate with legal, compliance and business colleagues to develop, implement, and maintain the compliance programs for the company to include implementing written policies, procedures, and standards of conduct, leading effective training programs, conducting internal monitoring and auditing, and directing compliance-related investigations to respond promptly to concerns raised and take appropriate corrective actions to remediate identified issues. The GC will be a member of the Japan Management Board and serve as a business partner for the local leadership team. The GC will spend 50% of his or her time... on supporting DHR and various DHR businesses, and 50% of his or her time supporting the Dx Platform in Japan.


Gain a solid understanding of Danaher businesses in Japan, their goals, and challenges and identifying appropriate legal and compliance strategies to facilitate those goals and minimize those challenges Act as a strategic business partner for senior leadership on matters of major importance to the company and provide information related to all aspects of the company’s legal and compliance activities Work with the High Growth Markets legal & compliance team to identify and mitigate compliance risks and develop appropriate countermeasures. Conduct compliance-related investigations and implement action plans to remediate identified issues Identify potential areas of compliance vulnerability and risk in Japan; develop and implement corrective action plans for resolution of problematic issues, and provide legal guidance on how to avoid or deal with similar situations in the future Partner with appropriate business functions to deliver supplemental compliance training that further amplifies the corporate program, engages employees, and addresses specific needs within Danaher Japan Negotiate, strategize and document commercial transactions, contracts, and other legal arrangements including distribution and sales agency transactions Develop appropriate approaches to dispute resolution, lawsuits, and arbitrations; providing regular, clear communication of litigation issues and opportunities to the affected business and legal function Assist Danaher with mergers & acquisitions in Japan, consistent with relevant experience – from due diligence to documentation depending on the situation and background Assist HR colleagues with labor law support Assist Quality and Regulatory Affairs colleagues with regulatory law support Select appropriate panel law firms in Japan Be willing to work on the smallest and simplest, as well as the most complex, legal matters faced by the company


Must be an excellent lawyer, able to explain complex legal points to business leaders with varying degrees of sophistication; able to take business leaders’ concerns and demands into account in how best to pursue legal strategies In-depth knowledge and understanding of compliance risk management practices and methodologies, including risk assessment, monitoring/surveillance, and testing activities Strong project management skills, including managing and prioritizing multiple concurrent projects, mapping budget and resource curves, and reporting progress and risks to colleagues and senior management Strong business and financial acumen, with demonstrated understanding of core business processes Must understand how to transform compliance requirements to business advantage, not impediment Ability to balance numerous matters and “masters” while prioritizing same on a day-to-day basis as events require; ability to adapt to a fast paced, high-performance and lean environment with a relentless culture of continuous improvement Able to influence and command the respect of business leaders and outside counsel across a wide spectrum of experience, sophistication and cultural differences Tough-minded and firm on the principle, but able to be flexible in tactics/execution, able to think on feet, ability to engage in critical discussion without personalizing outcomes Global mindset combined with an ability to make things happen at a local level


A law degree from a well-recognized Japanese, U.S., Australian and/ or European law school. A bar license in Japan is required. Extensive exposure to and success in a dynamic business environment. Minimum of ten years of practice post qualification Law firm experience, preferably international, or equivalent in-house experience, or combination of the two Substantial responsibility in various areas of law and/or business. Experience in healthcare industry preferred. In-house experience preferred; some experiences that suggest an ability to hit the ground running in a complex, matrixed organization is a must Ability to travel domestically and internationally as needed

Fluency in both Japanese and English
